These Terms of Service govern your access to and use of OrganoBit websites, platform experiences, software, research workflows, marketplace features, communications, and related services. The Services are provided by OrganoBit BioIntelligence Pte. Ltd. and its affiliates, including OrganoBit Inc.
By accessing or using the Services, creating an account, submitting information, joining a waitlist, purchasing through marketplace features, or otherwise interacting with OrganoBit, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
OrganoBit builds intelligence infrastructure for the organoid economy, including organoid informatics, protocol intelligence, simulation, analytics, marketplace, and collaboration workflows. The Services may include OrganoidOS, OrganoSim, Protocol Foundry, OrganoBit Marketplace, research content, AI-assisted tools, APIs, beta features, newsletters, events, and related support.
Some Services may be offered as previews, pilots, beta releases, research collaborations, or early-access programs. Beta and pilot features may change, be interrupted, contain errors, or be discontinued without becoming generally available.
The Services are intended for professional, research, institutional, business, or adult individual users who are at least 18 years old. You are responsible for providing accurate information, maintaining account security, keeping credentials confidential, and promptly notifying us of unauthorized access.
You are responsible for all activity under your account and for ensuring that your users, employees, contractors, collaborators, and representatives comply with these Terms.
You may use the Services only for lawful purposes and in accordance with these Terms, applicable documentation, and any separate written agreement with OrganoBit.
You retain ownership of research data, experimental results, files, protocols, comments, messages, and other content you submit to the Services, subject to any separate written agreement.
You grant OrganoBit a limited, worldwide, non-exclusive license to host, process, transmit, display, reproduce, analyze, and otherwise use your content as needed to provide, secure, support, improve, and operate the Services, comply with law, and enforce these Terms. This license does not give OrganoBit permission to publicly disclose your non-public research data without authorization.
You are responsible for your content, including its accuracy, legality, rights clearance, confidentiality obligations, human-subject or patient-consent requirements, institutional approvals, and compliance with applicable research, biosafety, privacy, and data protection rules.
OrganoBit and its licensors retain all rights in the Services, software, workflows, interfaces, designs, documentation, models, analytics, algorithms, know-how, trademarks, logos, and other technology or content we provide.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your internal, lawful purposes. No rights are granted except as expressly stated in these Terms or a separate written agreement.
If you provide feedback, suggestions, or ideas, you grant OrganoBit the right to use them without restriction or compensation, provided we do not disclose your confidential information in doing so.
The Services may include marketplace, supplier, payment, authentication, analytics, hosting, shipping, or other third-party features. Third-party services may be subject to their own terms, privacy notices, fees, warranties, support rules, and compliance obligations.
OrganoBit may facilitate discovery, checkout, communication, or integration with third parties, but unless expressly stated, OrganoBit is not the manufacturer, seller, medical provider, laboratory operator, or regulatory sponsor for third-party products or services.
Some Services may require payment, subscription, usage fees, marketplace charges, or separate order forms. You agree to pay all applicable fees, taxes, duties, and charges according to the terms presented at purchase or in the applicable agreement.
Fees are non-refundable except where required by law or expressly stated in writing. We may suspend or restrict paid Services for late payment, failed payment, suspected fraud, chargebacks, or violation of these Terms.
Our collection and use of personal information is described in our Privacy Notice. You are responsible for ensuring that any personal information, patient-related information, institutional information, or regulated data you submit to the Services is collected and shared lawfully.
OrganoBit Services are intended to support research, informatics, simulation, protocol intelligence, and operational workflows. Unless expressly agreed in writing, the Services are not medical devices, clinical decision-support products, diagnostics, therapeutic products, laboratory-developed tests, or substitutes for professional medical, clinical, regulatory, legal, biosafety, or ethical review.
OrganoBit does not guarantee that any protocol, simulation, analysis, marketplace product, AI output, research workflow, or content will be accurate, complete, reproducible, clinically valid, regulatory-approved, or suitable for a particular use. You must independently verify outputs and maintain appropriate scientific, institutional, and compliance review.
We may change, suspend, discontinue, limit, or add features to the Services at any time. We aim to provide reliable Services but do not guarantee uninterrupted, error-free, or secure availability.
We may perform maintenance, updates, security actions, usage-limit enforcement, or emergency changes that affect access or functionality.
You may stop using the Services at any time. We may suspend or terminate access if we believe you violated these Terms, created risk, failed to pay fees, misused the Services, infringed rights, or if required by law or security needs.
After termination, your right to use the Services ends immediately. Provisions that by their nature should survive termination will survive, including intellectual property, payment obligations, disclaimers, liability limits, indemnity, dispute terms, and provisions concerning user content already processed or retained as permitted.
If you believe content on the Services infringes your copyright, send a notice to legal@organobit.bio with: your contact information; identification of the copyrighted work; identification of the allegedly infringing material and where it appears; a statement of good-faith belief that the use is unauthorized; a statement that the information is accurate and, under penalty of perjury where applicable, that you are authorized to act; and your physical or electronic signature.
We may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate. If you believe content was removed by mistake, contact legal@organobit.bio with a counter-notification containing the required legal information.
To the maximum extent permitted by law, the Services are provided as is and as available, without warranties of any kind, whether express, implied, statutory, or otherwise. OrganoBit disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, and course of performance.
To the maximum extent permitted by law, OrganoBit and its affiliates, officers, employees, contractors, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost data, loss of goodwill, research interruption, procurement costs, or business interruption.
To the maximum extent permitted by law, OrganoBit's total liability for all claims relating to the Services or these Terms will not exceed the greater of the amount you paid to OrganoBit for the Services giving rise to the claim in the twelve months before the event or USD 100.
You agree to defend, indemnify, and hold harmless OrganoBit and its affiliates, officers, employees, contractors, agents, suppliers, and licensors from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from your content, use of the Services, violation of these Terms, violation of law, infringement or misappropriation of rights, or misuse of research, marketplace, AI, or platform workflows.
These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules, except where applicable consumer or privacy law requires otherwise. The parties will first try to resolve disputes through good-faith negotiation.
If a dispute cannot be resolved informally, it will be resolved by arbitration administered by the Singapore International Arbitration Centre under the SIAC Rules, unless another forum is required by applicable law or a separate written agreement. The seat of arbitration will be Singapore, the language will be English, and either party may seek urgent injunctive or equitable relief in a court of competent jurisdiction.
OrganoBit Inc supports OrganoBit's U.S. presence at 2093 Philadelphia Pike #3383, Claymont, DE 19703. For U.S. users, these Terms apply together with any non-waivable rights under U.S. federal or state law.
Where U.S. law requires a specific notice, remedy, venue, consumer right, privacy right, tax treatment, or intellectual-property procedure that cannot be waived by these Terms, that requirement applies only to the extent required by law. Nothing in these Terms limits rights that cannot lawfully be limited.
We may update these Terms from time to time. When we make changes, we will update the Last updated date and, where required, provide additional notice. Continued use of the Services after updated Terms become effective means you accept the updated Terms.
